This acknowledgement of obligations (the "Agreement") is made and effective between the registered customer signatory to this search request form (the "Customer") and Patentest Inc. (the "Company").
Whereas the customer possesses secret information concerning a new invention, and whereas the customer is willing to expose the secret information concerning the new invention, as well as his/her personal information, as well as his/her credit card information (the "Secret Information" - excluding public information at time of submitting the search request). Thereof, the company agrees as follows:
- All the secret information revealed by the customer to the company by means of e-mail, mail, fax, phone or meeting will be classified as secret and kept protected.
- The company recognizes that the information disclosed by the customer is the customer\'s property. Moreover, the company agrees to use the information in search for prior art only (the "Authorized Use").
- Other than Authorized Use as described in section 2, the company shall not make use of the Secret Information, shall not reveal it, shall not allow any use of it, shall not allow access to it or disclose it to any person or body, and shall not copy or change it; whether by itself or any other body under its control.
- The company undertakes to verify that all employees with access to the Secret Information will be committed in writing, prior to exposure to the Secret Information, to protect the secrecy of the information.
- The authorized courts of the state of Delaware, USA, will have exclusive jurisdiction to resolve any legal matter arising from this agreement or any of its terms.
